Ms. Beshar is a member of Davis Polk & Wardwell’s Corporate Department. She represents clients in U.S. and international capital markets transactions and advises on general securities and corporate governance issues. Among her specialties is corporate finance in the retailing industry.
Ms. Beshar has taken a leading role in a wide variety of both public and private debt and equity offerings by U.S. and non-U.S. companies, including initial public offerings and convertible offerings. She has represented Morgan Stanley, Credit Suisse First Boston, J.P. Morgan Securities, Banc of America and other banks in financing transactions. For many years she has been designated underwriters’ counsel for financing transactions by General Motors and its finance subsidiary, GMAC, in the United States and globally.
In recent years, Ms Beshar has also worked on domestic securities offerings of equity-linked products for financial institutions. She has significant experience in the development of new financial products, including various types of synthetic exchangeable securities.
She has also advised many companies in connection with their general corporate governance, compliance and securities work. Recently, she has advised a leading bank on various regulatory aspects related to analyst research issues. A recent notable transaction includes the General Motors $17.6 billion debt sale, the largest-ever by a U.S. company. This transaction was selected by International Financing Review as the U.S. corporate finance transaction of 2003.
Ms. Beshar joined Davis Polk in 1986 and became a partner in 1994.
She graduated, with first class honors, from the University of Western Australia in 1980 and in 1981 received her Bachelor of Laws, also with first class honors. She received a Masters in Law from Magdalen College at Oxford University in 1984.
Ms. Beshar is a trustee of the University of Western Australia and Magdalen College, Oxford University.
