John A. Bick


Mr. Bick, a member of Davis Polk & Wardwell’s Corporate Department, advises clients in mergers and acquisitions, private equity transactions, joint ventures, partnerships, takeover defenses and corporate governance issues. He also represents clients in general corporate and securities law matters.

Among his recent clients and matters are Jacuzzi Brands (formerly U.S. Industries) in its sale to Apollo Management; Morgan Stanley in its acquisition of Barra; a consortium of shareholders in the sales of BrokerTec and Trade Web; H.J. Heinz’s director election contest in 2006; Marks and Spencer in the sale of Kings Super Markets; H.J. Heinz in its strategic investment in Hain Food Group; Allegiance Healthcare in its stock merger with Cardinal Health; Toshiba and Itochu in their investment in Time Warner Entertainment. He recently represented Vanguard Health Systems in its sale to Blackstone Capital Partners and Columbia Natural Resources in its sale to Chesapeake Energy. He also represented the special committee of CareInsite in its stock merger with Healtheon WebMD and Morgan Stanley on the bail-out of Long Term Capital Management.

Mr. Bick also works extensively in the area of private equity, regularly representing Morgan Stanley Private Equity, Metalmark Capital and Tailwind Capital Partners. He was the lead partner in the organization in 1994 of Morgan Stanley Capital Partners III, a $1.825 billion private equity investment fund; in 1999 of MSDW Venture Partners IV, a $550 million venture capital fund; and in 2003 of Helios Energy Partners, an oil and gas fund. He represents Morgan Stanley Capital Partners in its investments in Cantera Resources, a gas-gathering and services business, and Direct Response and Homesite, car and homeowner insurance companies. He also regularly represents Morgan Stanley in their strategic private equity investments.

Mr. Bick joined Davis Polk in 1983 and became a partner in 1991. He practiced in the Paris office from 1986 to 1988.

Mr. Bick graduated, summa cum laude, from Dartmouth College in 1980, and in 1983 received his J.D. from Columbia Law School. He has been named a leading private equity lawyer by each of Chambers Global/USA, PLC Global Counsel 3000 and the IFLR1000.
