Juliet Cain


Ms. Cain is a member of Davis Polk & Wardwell’s Credit Group. Her practice focuses on structured products and other complex financing transactions as well as restructurings. She has extensive experience advising clients in relation to securitizations and other asset-backed structures, aircraft financing, fund financing and project finance.

In the area of securitizations, Ms. Cain has represented two major aircraft-backed vehicles, Airplanes Group and AerCo Limited. She has also been involved in the structuring of securitizations involving other asset classes, including portfolios of government securities, non-performing loans and other financial assets. She has most recently assisted in the formation and structuring of a credit derivatives products company.

Ms. Cain has represented Federal Express in all of its aircraft financings since the early 1990s (including the first EETC transaction for a cargo carrier). She advised Delta Air Lines in connection with some of its aircraft restructurings during its Chapter 11 proceedings and has advised Frontier Airlines in relation to fleet matters in its current Chapter 11 proceedings. She also advises certain of our financial institution clients who invest and trade in aircraft financings and portfolios.

Ms Cain’s fund financing practice has included representation of the Morgan Stanley Real Estate Funds and the Morgan Stanley Infrastructure Funds, as well as various venture capital funds and hedge funds. In addition to financings, she also advises hedge funds in relation to prime brokerage and fixed income products. Her work in this area has included clients such as Chilton Investment Company, the Rohatyn Group and Highbridge Capital Management.

In the area of project finance, Ms. Cain has represented both sponsors and lenders in the oil and gas and the power sectors. She also served as counsel with the European Bank for Reconstruction and Development in London from September 1998 to February 1999.

Ms. Cain is a member of the board of directors of Gay Men’s Health Crisis, a not-for-profit organization working towards reducing the spread of AIDS and the prevention, treatment and cure of HIV. Her pro bono work includes projects for GMHC and InMotion, a not-for-profit organization providing free legal services to low-income women in the area of matrimonial, family and immigration law.

Ms. Cain joined Davis Polk in 1982 and worked as an associate in the Tax Department until 1987. She rejoined the firm as a senior attorney in 1990 and became a partner in 1995. She worked in the firm’s London office from 2000 until July 2005.

She graduated, with first class honors, in 1978 from the University of Bristol, U.K., with an LL.B. She received her LL.M. in taxation from New York University School of Law in 1988. Ms. Cain was an acting assistant professor in the New York University School of Law LL.M. taxation program from 1988 to 1990.
