Mr. Pan is an associate in Davis Polk & Wardwell’s Corporate Department and works in the Menlo Park office. Since joining Davis Polk in 2005, he has worked on public and private securities offerings, mergers and acquisitions, private equity investments, fund formation, SEC disclosure and corporate governance matters. Transactions Mr. Pan has worked on include advising SMART Modular on its initial public offering and follow-on secondary offering, Oracle on its issuance of $5 billion of senior debt securities and E*Trade and El Paso Electric on registered debt offerings; advising underwriters in the initial public offering of CAI International, follow-on common stock offerings by Xenoport and Nighthawk Radiology, McDonald’s $800 million spin-out of Chipotle Mexican Grill, and a $1.5 billion convertible debt offering for AMD; acquisitions by KLA-Tencor, Software AG, Callidus, Comcast and Oracle; various investments in private companies by affiliates of Richemont; and fund formation for HRJ Capital, FTVentures and Tallwood Ventures. He has also advised Oracle and SMART Modular on various public reporting and corporate governance matters.

Mr. Pan graduated, cum laude, from Yale University in 1998 and in 2001 received his M.A., cum laude, from Trinity Evangelical Divinity School. In 2005 he received his J.D. from New York University School of Law, where he was staff editor of the Review of Law and Social Change. He is admitted to the bar of California. Mr. Pan is conversant in Mandarin.
