A member of Davis Polk & Wardwell’s Corporate Department, Mr. Dallas advises on corporate finance, derivatives, SEC disclosure and corporate governance, including initial public offerings (with an emphasis on high-technology and bio-technology companies), high-yield and convertible debt offerings, registered and OTC prepaid forward monetizations, and audit committee investigations.

He has been the primary capital markets partner for Comcast, E*Trade, Gateway, Masco, Oracle and Sharper Image. His underwriter clients have included Morgan Stanley and J.P. Morgan. Mr. Dallas’ recent transactions include $9.3 billion in public debt offerings for Comcast, a $5.8 billion Rule 144A debt offering for Oracle, initial public offerings for Chipotle Mexican Grill, Somaxon Pharmaceuticals, SAIC and Trubion, and follow-on public equity offerings for XenoPort, FormFactor, NightHawk and Nuvelo. He represented Morgan Stanley in structuring McDonald’s Corporation $800 million spin-out of Chipotle, using a first-ever dollar parity pricing tender offer mechanism.

Mr. Dallas joined Davis Polk in 1985, became a partner in 1994, and is a founding partner of the Menlo Park office.

Mr. Dallas graduated from Dartmouth College in 1979 with both an A.B. and an M.A. (Chemistry). In 1984 he received his M.B.A. from Owen Graduate School of Management at Vanderbilt University, where he was a member of the Beta Gamma Sigma Honor Society, and his J.D., Order of the Coif, from the Vanderbilt School of Law, where he was articles editor of the law review. He clerked for the Honorable Harry W. Wellford, U.S. Court of Appeals, Sixth Circuit, from 1984 to 1985. He is admitted to the bars of California and New York.
