Ms. Day, a member of Davis Polk & Wardwell’s Corporate Department, represents lenders and borrowers in secured and unsecured financings. She concentrates in secured acquisition and other leveraged financings, as well as workouts and debt restructurings, both in and out of bankruptcy. Recent representations include J.P. Morgan and Merrill Lynch in a $3.3 billion secured credit facility for Windstream; Delta Air Lines in a $2.2 billion debtor-in-possession financing; Bank of America in the $2.1 billion bankruptcy exit financing for Conseco; J.P. Morgan in a $5.4 billion syndicated letter of credit facility for Exxon-Mobil; IPSCO in a $1.1 billion acquisition facility; Burger King in a $1.5 billion secured credit facility; and J.P. Morgan in a $4.5 billion debtor-in-possession facility for Delphi. Other clients have included Aetna, Compañía de Telecomunicaciónes de Chile, Crestview, CVS, Endesa, Francisco Partners, GSC Group, Masco, Morgan Stanley, Royal Caribbean Cruises, The Sharper Image and Smart Modular.
Ms. Day joined Davis Polk in 1986 and became a partner in 1995. She practiced in the Paris office from 1989 to 1990.
Ms. Day graduated, with highest honors, from the University of California, Berkeley, in 1983 and in 1986 received her J.D., with honors, from the University of Michigan.
