Alan F. Denenberg


Mr. Denenberg is a member of Davis Polk & Wardwell’s Corporate Department and practices in the Menlo Park office. He has extensive experience in corporate finance and mergers and acquisitions transactions. His practice includes a broad range of public and private equity and debt financing representing both domestic and foreign issuers and underwriters in a variety of industries, including technology, telecommunications, health care, retail and manufacturing. In the mergers and acquisitions area, Mr. Denenberg has worked on a number of public and private transactions, representing both acquirer and target companies, as well as private equity firms.

In the capital markets area, Mr. Denenberg has worked on public offerings, including convertible, investment-grade and high-yield debt and equity offerings, for a variety of companies, including AMD, Ariad, Baidu, Borland, Boston Properties, Cisco, Concur Technologies, Cypress Semiconductor, EnerNOC, Equinix, Intel, Intuit, MacroVision, Nice-Systems, Novacea, Seagate, Sonosite, Spansion, Taleo, Theravance, VeriFone, Xilinx and Wet Seal. He spent five years living and practicing in Asia during which time he focused on cross-border financings and mergers and acquisitions, including various financings by Telstra, the Australian telecommunications company, and China Eastern Airlines. In the mergers and acquisitions area, transactions have included the representation of MediaTek in its acquisition of the cellular chip business of Analog Devices, PowerDsine in its sale to Microsemi, BeVocal in its sale to Nuance and Francisco Partners in its acquisition of WatchGuard. Mr. Denenberg has also regularly provided general corporate advice to companies, including Ingram Micro, Reliance Steel, Richemont International, Smart Modular and UltraClean Technologies. He also has represented private equity funds, including Atelier Fund, Elevation Partners, Francisco Partners, MPM Capital and Vector Capital.

Mr. Denenberg joined Davis Polk as a partner in 2000. Before joining Davis Polk, he was a partner at Shearman & Sterling in San Francisco and a managing partner of their Singapore office.

Mr. Denenberg graduated from McGill University in 1982. In 1985 he received his LL.B. from Osgoode Hall Law School and in 1986 he received his LL.M. from Columbia Law School. He is admitted to the bars of California, New York and the U.S. District Court for the Northern District of California.
