Ethan T. James


Mr. James is a member of Davis Polk & Wardwell’s Financial Institutions Group whose practice focuses on the insurance industry. He has represented PartnerRe and Montpelier Re on corporate and transactional matters. He has advised on capital markets transactions for insurance companies, including participating in recent capital raising activities of American International Group, The Hartford, Travelers, Liberty Mutual, Nationwide, Cigna, PMI, ACA Capital and IPC Re. Mr. James has worked on insurance-related structured products, including catastrophe bonds and hybrid securities.

In addition, Mr. James has worked on a number of mergers and acquisitions, including advising St. Paul on its merger with Travelers; PartnerRe on its investment in ChannelRe, the financial guarantee reinsurer; Montpelier Re on its investment in Blue Ocean Re; DLJ Merchant Banking on insurance regulatory aspects of its investment in Health Markets (formerly UICI); Talanx on U.S. regulatory aspects of its acquisition of the direct insurance operations of Gerling; Crestview Partners on its investment in Lancashire Holdings and in the reinsurance operations of Axa; and other investments in “sidecar” reinsurers.

Recently Mr. James has provided pro bono advice in connection with the publication of A Handbook for Injured Service Members and Their Families and Handbook for Families of Deceased Service Members by the Intrepid Fallen Heroes Fund and the Wounded Warrior Project, non-profit organizations that provide support to members of the armed forces, and Public Service in a Time of Crisis: A Report and Retrospective on the Legal Community’s Response to the Events of September 11, 2001.

He joined Davis Polk in 1994 and became a partner in 2003. He was assigned to the Tokyo office for part of 1995 and worked in the London office from 1996 to 1999.

Mr. James graduated from Ohio State University in 1988 and in 1994 received his J.D. from Yale Law School.

He was a project engineer for Exxon Co. USA from 1988 to 1991.
