Mr. Ettinger is the Managing Partner of Davis Polk & Wardwell. He has been Managing Partner of Davis Polk since 1999 and a partner of the firm since 1986. He joined Davis Polk in 1979.
In his own practice, as a member of Davis Polk’s Corporate Department, Mr. Ettinger represents clients in mergers and acquisitions, private equity transactions, joint ventures, restructurings, takeover defense and corporate governance issues. He also provides general corporate and securities law advice.
Mr. Ettinger has regularly represented leading investment banks in a wide variety of matters. In this regard, for example, he represented Morgan Stanley in connection with the acquisitions of Miller Anderson & Sherrerd and of Van Kampen American Capital and the merger with Dean Witter. During the course of his career he has also represented Credit Suisse, JPMorgan Chase, and other banks on a variety of transactions for their own businesses and in their capacities as financial adviser.
Mr. Ettinger has also represented many other corporations on M&A and other matters, including General Motors, PricewaterhouseCoopers, Shell Oil, Travelers and Burlington Industries.
In the area of private equity, Mr. Ettinger has represented Metalmark (formerly Morgan Stanley Capital Partners) in acquisitions, sales and other matters, including with respect to Equant, Fort Howard, NCC, Silgan and Rio Grande/Southern Pacific. He also has worked on various matters for Crestview and Welsh, Carson, Anderson & Stowe in connection with private equity investments.
Mr. Ettinger is regularly listed as a leading lawyer in the areas of M&A, private equity and corporate governance in a wide variety of legal industry publications. For example, he was named as one of the two “senior statesmen” in the area of private equity in Chambers USA: America’s Leading Business Lawyers (2006), and as one of the leading M&A lawyers by the Legal Media Group’s Guide to the World’s Leading Mergers and Acquisitions Lawyers (2006).
He graduated, summa cum laude, from Yale University in 1973, where he was president of Phi Beta Kappa. He received his J.D. from Harvard Law School in 1978, where he was developments editor of the Harvard Law Review. He was a Rhodes Scholar at Oxford University from 1973 through 1975.
Among his other involvements in the area of community affairs, Mr. Ettinger serves on the national board of Communities In Schools, Inc., an organization supporting the nation’s largest stay-in-school network helping children succeed in school and prepare for life. He is also a member of the Yale University Council, a trustee of the Phillips Exeter Academy in Exeter, New Hampshire, and a member of the Advisory Board of the Harvard Law School Center on Lawyers and the Professional Services.
