Ms. Flesher is a member of Davis Polk & Wardwell’s Corporate Department. She represents companies and financial institutions, private equity and venture capital groups and other entities on environmental matters in the context of transactions, including mergers and acquisitions, real estate investments, bankruptcies and restructurings and securities offerings. She is the coordinator of the firm’s Environmental Practice Group.
Ms. Flesher has regularly advised the firm’s private equity and fund clients, including Metalmark, DLJ Merchant Banking Partners, Stockbridge Real Estate Funds, Avista Capital Partners, Crestview Partners and Welsh, Carson, Anderson & Stowe on their acquisitions and dispositions, many of which have been in the energy or related sectors, and has advised Emerson, Comcast and VF Corporation on a variety of sales and acquisitions over the years.
Her recent representations include Campbell Soup’s $850 million sale of Godiva; Cosan’s $1.2 billion IPO; DLJ Merchant Banking Partner’s $340 million acquisition of Deffenbaugh Industries; Emerson Electric in the sale of its JV, Industrial Motion Control; Citibank on Federal Mogul’s $3.5 billion exit financing; Francisco Partners on its $150 million cash investment into a semiconductor company; MetalMark Capital’s $400 million acquisition of a portion of a Swedish forestry company’s business; and Morgan Stanley on a $4.8 billion acquisition to be completed in 2008.
Ms. Flesher joined Davis Polk in 1988 and became a partner in 1996.
She graduated from the Wharton School of the University of Pennsylvania in 1983 and in 1988 received her J.D. from Hastings College of the Law, where she was a member of the Hastings Law Journal.
She has written articles and spoken on issues relating to environmental liabilities in the context of financings and acquisitions. She is a past member of the Membership Committee (1998-2001) and of the Environmental Law Committee (1995-1998) of the New York City Bar Association and a member of the American Bar Association.
Ms. Flesher is listed as a leading environmental lawyer in several legal industry publications, including Practical Law Company’s Cross-border Environment Handbook; Law Business Research’s Who’s Who LegalUSA – Environment and Who’s Who LegalInternational Who’s Who of Business Lawyers, and Chambers USA (where she is one of only two lawyers listed in the first tier in 2007 for environmental transactions).
