Manuel Garciadiaz


Mr. Garciadiaz is a partner in Davis Polk & Wardwell’s Corporate Department. He regularly advises U.S. and non-U.S. clients on capital markets transactions, including initial public offerings, spinoffs, exchange offers and other securities underwriting, mergers and acquisitions, private equity, structured and project financings and debt restructurings.

Among his recent transactions, he advised on the $3.5 billion initial public offering and $12 billion follow-on debt and equity offerings by GE’s insurance unit Genworth Financial; a series of equity, debt and convertible debt offerings by Cinergy, Cincinnati Gas & Electric and PSI Energy aggregating $4 billion; the initial public offering and a series of follow-on equity and debt offerings by Bunge aggregating $5 billion; and the $2 billion global initial public offering of Tenaris and its SEC-registered exchange offers for its affiliates in Argentina, Italy and Mexico.

He has worked on some of the most significant transactions to date in Latin America, including advising Telefónica on its $26.1 billion acquisition of its affiliates in Argentina, Brazil and Peru (the largest capital markets transaction to date by a corporate issuer in Latin America); the Brazilian government on the $19 billion privatization of Telebrás (the largest privatization to date in Latin America), including the initial SEC registration of the 12 new spun-off telecommunications carriers; the commercial lenders on the $4 billion project financing of Hamaca, a heavy crude oil project in Venezuela; and the initial purchasers on the $1 billion high-yield debt offering by Mexico’s Vitro (the largest high-yield debt offering by a Latin American corporate issuer).

In addition, he has recently worked on a number of transactions involving Latin American companies, including initial public offerings by Submarino, Lojas Renner, Cosan, Gafisa, Lupatech, Datasul, MMX, Abyara, Santos Brasil, Brascan, São Carlos, Camargo Corrêa Desenvolvimento Imobiliario, Anhanguera, BR Malls, Agra, Tarpon, Inpar, SLC Agricola, Invest Tur, Minerva, Triunfo, Multiplan, Satipel, SEB, BM&F, MPX and Tempo; secondary equity offerings by AES Tietê, Almacenes Exito, Cyrela, Gafisa, Perdigão, Romi and Unibanco; debt offerings by Banco BMC, Bertin, Bunge, Camargo Corrêa, Camargo Corrêa Cimentos, Construtora Norberto Odebrecht, Cosan, Gol, Industrias Unidas, Loma Negra, Maxcom, Minerva, Sul America, Telefónica del Perú, Transtel and Vitro and debt restructuring of Eletropaulo. He has also worked on export receivable financings for Pemex Finance, Repsol-YPF and Telefónica del Perú.

Mr. Garciadiaz joined Davis Polk in 1998 and became a partner in 2005.

 

He received his B.A., summa cum laude, and M.A. in 1991, both from Yale University, and his M.P.P. in International Trade and Finance in 1993 from the John F. Kennedy School of Government at Harvard University. In 1996, he received his J.D. from Harvard Law School, where he was the managing editor of the Harvard Law Review. Mr. Garciadiaz clerked for the Honorable Diarmuid F. O’Scannlain, U.S. Court of Appeals, Ninth Circuit, from 1996 to 1997. He is fluent in Spanish and Portuguese.
