Mr. Hacket is counsel in Davis Polk & Wardwell’s Corporate Department and works in the Frankfurt office. He has broad international experience advising non-U.S. companies, including financial institutions and investment banking clients, on international equity and debt offerings and advises foreign private issuers on corporate governance issues, including their reporting obligations with the U.S. Securities and Exchange Commission and Sarbanes-Oxley matters. He also advises on U.S. securities laws regarding public tender offers and business combinations of non-U.S. companies. He has advised on numerous securities offerings in Germany and Austria.
Representative matters Mr. Hacket has worked on include advising the underwriters on the initial public offering of Zumtobel, the largest initial public offering by an Austrian industrial company; advising Wiener Städtische Allgemeine Versicherung Aktiengesellschaft on their capital increase, the largest capital increase ever carried out on the Vienna Stock Exchange by an insurance group; advising the underwriters on the initial public offering of Raiffeisen International, one of the leading Central and Eastern European retail banks with its headquarters in Vienna; transaction counsel on a rights offering for Erste Bank der oesterreichischen Sparkassen, one of Central Europe’s leading retail banks; advice on the spinoff of former SEAT’s telephone directory, directory assistance and publishing business and the merger between Sanpaolo IMI and Banca Intesa. Mr Hacket has also represented European issuers in U.S. debt private placements.
Mr. Hacket joined Davis Polk in 2000 and became counsel in 2006.
He received a Magister Juris from the University of Innsbruck in 1989, a Doctor Juris from the University of Vienna in 1993 and an LL.M. from McGill University, Institute of Air and Space Law in 1992. In 2000 he received an LL.M. from Duke University School of Law. He clerked for the Innsbruck and Vienna Court of Appeals from 1991 to 1992. He is admitted to the bar of New York and is qualified to be admitted to the bar of Austria. He is a native speaker of German and English, is fluent in Italian and conversant in French.
Before joining Davis Polk, Mr. Hacket was an associate at Heller, Loeber, Bahn & Partner (Vienna) from 1993 to 1994, Grohs, Hofer, Rainer (Vienna) from 1994 to 1996, and Simpson Thacher & Bartlett (New York and London) from 1996 to 1999.
