Mr. Kenadjian, the resident partner in Davis Polk & Wardwell’s Frankfurt office, is responsible for the firm’s German practice. He has an international practice in the areas of mergers and acquisitions, cross-border securities offerings, international investments and joint ventures, international privatizations and general corporate advice, with an emphasis on representing European clients. While assigned to the New York office, he spent six years concentrating in mergers and acquisitions.
He has spent over 20 years in Davis Polk’s European and Asian offices. From 1977 to 1979, he was in the Paris office. In 1987, he opened the Tokyo office, where he practiced until 1990. He opened the Frankfurt office in 1991 and has since been resident partner there. Mr. Kenadjian speaks French, German and Italian.
He has been active in securities transactions for issuers in Asia and Europe, particularly on initial public offerings and privatizations in Germany, Austria, Italy and Switzerland. He has represented bidders and targets in cross-border acquisitions throughout Europe, in particular in France, Germany, Italy, Switzerland, the United Kingdom and the United States.
In his capital markets practice, he has represented Telecom Italia and Telekom Austria in their privatizations; Wiener Städtische Allgemeine, Versicherung Aktiengesellschaft Software AG, Stinnes and BHW in their initial public offerings; OMV in its capital increase; and the underwriters in the initial public offerings of Bank Austria Creditanstalt, Raiffeisen International, EPCOS, comdirect bank, freenet.de and Zumtobel AG; and in the privatization of INA in Italy. He advised the Federal Republic of Germany on its first foreign currency bond issue. Most recently, he advised the underwriters in establishing a WKSI shelf registration statement for Deutsche Bank Aktiengesellschaft and advised the joint book-running managers on the first takedown from this shelf. Mr. Kenadjian has also represented European and Asian issuers in U.S. debt private placements.
In his mergers and acquisitions practice, he has advised Merck KGaA on its acquisition of Serono S.A.; Software AG on several acquisitions in the United States; Cinven on its acquisition of Klöckner Pentaplast; the Soros Group on investments in Germany; Telecom Italia on its proposed business combination with Deutsche Telekom and on its defense against Olivetti’s unsolicited tender offer; and Cargill Inc. in connection with its acquisition of the food ingredients unit of Degussa AG.
Mr. Kenadjian joined Davis Polk in 1975 and became a partner in 1984.
He graduated from Yale University in 1970 and in 1975 received his J.D., Order of the Coif, from the University of Virginia School of Law, where he was a member of the law review.
Mr. Kenadjian was admitted as Conseil Juridique in France in 1979 and as gaikokuho-jimu-bengoshi in Japan in 1987.
