Diane G. Kerr


Ms. Kerr is a member of Davis Polk & Wardwell’s Corporate Department. She represents clients in mergers, acquisitions, joint ventures and other business combination transactions, emphasizing cross-border and other international transactions. She also provides general takeover and takeover defense advice and advises on corporate financing transactions. She recently advised Banco Santander of Spain in connection with its investment in Sovereign Bank, Sovereign’s acquisition of Independence Savings Bank and the hostile proxy contest waged by Relational Investors against Sovereign and the proposed transactions. She also has represented Hero Group AG of Switzerland on its acquisition of the Beech Nut baby food business and private equity investors in connection with the acquisition of interests in a Nigerian mobile telephone company. She has advised Bank of America Securities on its mergers and acquisitions assignments.

She is also a member of Davis Polk’s Latin America and Spain Practice Group and spends a substantial portion of her time representing clients in Spain and Latin America.

Ms Kerr’s work in Latin America and Spain has included the representation of Quinsa and its controlling shareholders in connection with a business combination between Quinsa and the Brazilian brewer AmBev and the subsequent business combination between AmBev and the Belgian brewer InterBrew; Citigroup in connection with its acquisition of the Mexican banking group Banamex; and Spain’s Banco Bilbao Vizcaya Argentaria in connection with its acquisition of the Mexican Bancomer group. She also has represented Telefónica of Spain in connection with numerous telecommunications acquisitions and business combinations in Brazil, Argentina, Chile and the United States; Endesa Spain in connection with acquisitions and business combinations in Chile; Banco Santander and Banco Bilbao Vizcaya in connection with bank and financial service company acquisitions in South America; and Repsol in connection with its acquisition of the Argentine oil company YPF. Her work in Latin America also has included advising in connection with major debt restructurings, including that of Telecom Argentina.

Ms. Kerr joined Davis Polk in 1981 and became a partner in 1989. She practiced in the Paris office from 1985 to 1986. She has lived in both Spain and France, and is fluent in Spanish and French.

Ms. Kerr graduated, summa cum laude, from the University of Virginia in 1978 and in 1981 received her J.D., Order of the Coif, from the University of Virginia School of Law, where she was a member of the law review.
