Mr. Kingsley is a member of Davis Polk & Wardwell’s Corporate Department. He represents U.S. and international corporate clients and private equity funds in mergers and acquisitions.

His U.S. clients have included Texas Instruments, Morgan Stanley, Delta Air Lines, Ford Motor Company and Freeport McMoRan. Recent transactions include Freeport McMoRan’s $26 billion acquisition of Phelps Dodge; TI’s $3 billion sale of its sensors and controls division; Morgan Stanley’s investment in hedge fund manager Avenue Capital; Delta’s sale of its ASA regional carrier subsidiary; and Ford’s restructuring of its relationship with parts maker Visteon Corporation.

Mr. Kingsley has also represented a number of European companies in cross-border investments, including the French companies LVMH, Suez and Sodexho, and the U.K. companies AstraZeneca, InterContinental Hotels Group and Marks & Spencer. Recent transactions include AstraZeneca's $16 billion tender offer for MedImmune, a U.S. biotech company.

He also has substantial experience in investments by merchant banking funds organized by Morgan Stanley, Greenhill & Co. and Credit Suisse.

Mr. Kingsley joined Davis Polk in 1983 and became a partner in 1990. He practiced in the Paris office from 1986 to 1989.

Mr. Kingsley graduated from Stanford University in 1977, and in 1982 received his J.D. from Stanford Law School. He is fluent in French.
