Ms. Kirkpatrick is a member of Davis Polk & Wardwell’s Corporate Department. Her practice includes public equity, equity-linked, debt and other securities offerings by U.S. issuers. She regularly works for issuers and underwriters in connection with capital markets transactions, including initial public offerings as well as convertible and exchangeable securities offerings.
Ms. Kirkpatrick advised Burger King in its initial public offering, and has represented GSC Acquisition and GHL Acquisition, each a special-purpose acquisition company (“SPAC”), in connection with their initial public offerings.
She has also represented major investment banks, including JPMorgan and Citigroup, as underwriters’ counsel in initial public offerings and convertible and exchangeable offerings.
Ms. Kirkpatrick joined Davis Polk in 1989 and became a partner in 1997.
She graduated from Queen’s University in 1985, first in her class, and in 1989 received her LL.B. and M.B.A. from the University of Western Ontario, where she also graduated first in her class.
Ms. Kirkpatrick is co-chair of the Practicing Law Institute’s panel on “How to Prepare for an Initial Public Offering,” and speaks frequently on PLI and other panels on SPACs.
She is listed as a leading capital markets lawyer in PLC Cross-border Capital Markets Handbook 2007/08.
