Kirtee Kapoor


Mr. Kapoor is a partner in Davis Polk & Wardwell’s Hong Kong office. He has had extensive experience in representing corporations, financial institutions, private equity funds, hedge funds and other principals and advisers in a range of corporate and corporate finance transactions. His experience spans public and private M&A, credit, restructuring, bankruptcy, workout, capital markets, fund formation and a variety of strategic and advisory corporate assignments. He has previously worked in Davis Polk’s New York and Frankfurt offices, and has significant experience in cross-border transactions.

Mr. Kapoor has worked on many landmark public M&A transactions, including the $2.15 billion purchase of Eckerd Drugstores by CVS Caremark Corporation; the $57 billion merger of Gillette and Procter & Gamble; the $16 billion merger of St. Paul and Travelers; Oracle’s $5.85 billion acquisition of Siebel Systems; and he has defended Delta Air Lines in the $10 billion hostile bid from US Airways. In addition, Mr. Kapoor has worked on significant public transactions and joint ventures for clients such as Comcast, Investor AB, Oracle, CNOOC, VF Corporation and AstraZeneca.

He has worked on several transactions for private equity and hedge fund clients, including Old Lane, Metalmark, TPG-Axon, Tailwind, Greenhill, Goldman Sachs PIA, Morgan Stanley Private Equity and Corsair. These transactions include investments and exits around the world in both public and private companies.

Mr. Kapoor’s experience in credit transactions has included representing both banks and borrowers in multi-billion dollar secured, unsecured and commercial paper facilities for companies such as Young Broadcasting, Eurohypo AG, Charles River, Rite Aid, Schefenacker AG and Orbital Sciences. On the restructuring, bankruptcy and workout side, his experience includes the $10 billion Chapter 11 case of Delta Air Lines; workouts of Polaroid and Vlasic; and cross-border restructurings for companies such as iesy Hessen GmbH and Primacom.

Mr. Kapoor has worked on many securities offerings, including the initial public offerings by Tsakos Energy and Nuvera Fuel Cells and securities offerings by companies such as International Paper Company and Banco Santander Chile.

His fund formation experience has included setting up hedge funds and private equity funds for Morgan Stanley, Old Lane, Perella Weinberg Partners and Aetos. These have included several funds focused on India. Mr. Kapoor’s experience also includes several public and private transactions in India, including Oracle’s acquisition of i-flex systems; VF Corporation’s joint venture with Arvind Mills; and Goldman Sach’s investment in SpiceJet.

In addition, Mr. Kapoor’s experience has included advising on strategic, regulatory, corporate governance and director and officer liability issues for clients such as Altria, Comcast, CSG Systems, Quest Communications, Limited Brands, Merchantile Bankshares, Murphy Oil, Montpelier Re and Partner Re.

He joined Davis Polk in 1999 and became a partner in 2007.

Mr. Kapoor received his LL.B. from the University of Delhi, where he was awarded a gold medal for his academic achievements. In 1998, he received his B.C.L., with first class honors, from Balliol College, Oxford University, where he was an Inlaks Scholar and on the Balliol Merit List. In 1999, he received his LL.M. from New York University School of Law, where he was a Hauser Global Scholar and a graduate editor of the Journal of International Law and Politics. He is admitted to the bar of New York.

In October 2007, The New York Times listed Mr. Kapoor, along with several other Davis Polk partners, as one of the leading dealmakers on Wall Street under 40 years of age (“Facebook of Wall Street’s Future,” NYT, Oct. 3, 2007).
