Mr. Kreynin is a member of Davis Polk & Wardwell’s Corporate Department. His practice focuses on mergers and acquisitions, private equity transactions, joint ventures, restructurings, spinoffs, corporate governance and related matters.
He has represented Health Medical Associates in its recapitalization; Avista Capital Partners in the acquisition of The Star Tribune; AIG Financial Products in the acquisition of Kinder Morgan by an investor group; Gillette in its acquisition by Procter & Gamble; Shire Pharmaceuticals in its acquisition of Transkaryotic Therapies; Honeywell in its acquisition and disposition of several businesses; Syngenta in several transactions, including technology exchanges and joint venture with DuPont; Comcast in a number of transactions, including At Home restructuring and the proposed merger with MediaOne; J.P. Morgan in connection with its acquisition of Microsoft employee stock options and the related tender offer; MascoTech in its leveraged buyout by Heartland Industrial Partners; Qwest Communications in its hostile bids for US WEST and Frontier and its merger with US WEST; The Limited in its spinoff of Too, Inc.; Echlin in its defense against a hostile bid by SPX and its merger with Dana; and Shell Oil in connection with its joint ventures with Texaco and Saudi Aramco.
He has also represented Morgan Stanley Capital Partners, Metalmark Capital, DLJ Merchant Banking, Avista Capital Partners and other private equity funds in their acquisitions and investments. His other representations have included a variety of cross-border transactions, special committees in transactions involving controlling shareholders and financial institutions in their M&A advisory activities.
Mr. Kreynin joined Davis Polk in 1991 and became a partner in 1999.
Mr. Kreynin graduated in 1986 from Columbia University, from which he also received his M.A. in 1987. In 1989, he received his J.D. from Columbia Law School, where he was notes and comments editor of the Columbia Law Review, a Harlan Fiske Stone Scholar and a teaching fellow. He clerked for the Honorable Laurence H. Silberman, U.S. Court of Appeals, District of Columbia Circuit, from 1990 to 1991.
