Mr. He is an associate in Davis Polk & Wardwell’s Corporate Department and works in the Beijing office. Since joining Davis Polk in 2003, he has advised both the issuers and underwriters in capital market transactions. He advised Industrial and Commercial Bank of China in connection with its US$22 billion global offering, the biggest IPO ever. He also advised Air China on its US$1.24 billion HKSE/LSE listing. Mr. He has also worked on several SEC-registered IPOs, including Vmicro, NICE-Systems, Aventine and Xinhua Finance Media. He also advised the underwriters in connection with the securities offerings of Health Management Associates, Gasco Energy and Neoware. Mr. He has provided legal advice to Mueller Water Products and DLJ Merchant Banking Partners on the US$1.91 billion acquisition of Mueller Water Products by Walter Industries.

Mr. He graduated from Peking University in 1995 and in 1999 received his M.A. from the University of California, Berkeley. In 2003, he received his J.D. from Yale Law School, where he was editor of Yale Journal of International Law. He is admitted to the bar of New York and is a native speaker of Mandarin.
