Mr. McCarthy is a member of Davis Polk & Wardwell’s Corporate Department and chairman of its International Practice Committee. He advises U.S. and non-U.S. clients on mergers, acquisitions, joint ventures, defensive matters and corporate governance issues, with a concentration on cross-border investments. He also maintains an active capital markets practice and private equity practice.
He has advised non-U.S. companies, including The Royal Bank of Scotland Group plc, Shire Pharmaceutical Group plc, Smith & Nephew plc, Anders Wilhelmsen AS and Royal Caribbean Cruises Ltd. He advised The Royal Bank of Scotland on all of its recent U.S. acquisitions, including the Charter One acquisition, SAB Miller on its acquisition of a controlling stake in Bavaria S.A., T&F Informa on its acquisition of IIR Holdings and Royal Caribbean on its acquisition of Pullmantur, S.A. He advised Morgan Stanley Capital Partners on its European investments, including its investment in NOOS, the French cable company, as well as the Morgan Stanley real estate funds on their investment in Fadesa and their investment in Canary Wharf Group plc. He advised the eIsland consortium on its bid for Eircom plc, ESAT Holdings on its defense against the hostile bid of Telenor and agreed bid of British Telecom, and Digicel Limited on its wireless investments in the Caribbean. U.S. domestic transactions have included advising Argosy Casinos on its agreed merger with Penn National, the Emmis Communications Corporation Special Committee in connection with a proposed going-private transaction, work on some of the initial research and development limited partnerships, the Silver Screen/Disney series of film limited partnerships, and the formation of Chelsea Piers.
Mr. McCarthy joined Davis Polk in 1975 and became a partner in 1983. He practiced in the London office from 1990 to 1994 and again from 1999 to 2005. He continues to maintain offices and practices in the firm’s New York and London offices.
Mr. McCarthy graduated from Holy Cross College in 1968 and in 1972 received his J.D. from Columbia Law School. He received his M.B.A. from Harvard University in 1975.
