Ms. So is an associate in Davis Polk & Wardwell’s Corporate Department and works in the Hong Kong office. Her work focuses on public and private mergers and acquisitions, private equity transactions, joint ventures, spinoffs, restructurings and recapitalizations. She also has experience in the formation of private investment funds and other investment vehicles, and represents clients on general corporate and securities law matters.

The matters she has recently worked on include advising Advanced Semiconductor Engineering on its proposed $784 million acquisition of ASE Test Limited in a going-private transaction; Quadrangle Capital Partners on its acquisition of Dennis Publishing, a publisher of male lifestyle magazines, including Maxim, Blender and Stuff; Morgan Stanley on its spinoff of Discover and related restructurings; Health Management Associates on its $3.25 billion recapitalization plan, including the payment of $2.4 billion one-time special cash dividend to shareholders; Huntington Bancshares Incorporated on its $3.6 billion merger with Sky Financial Group; Commonwealth Telephone Enterprises on its $1.6 billion merger with Citizens Communications Company; and VF Corporation in the establishment of a joint venture with Arvind Mills in India.

Ms. So joined the New York office in 2003 and recently relocated to the Hong Kong office.

Ms. So graduated, summa cum laude and Phi Beta Kappa, from Yale University in 2000, where she received her B.S. and M.S. degrees. In 2003, she received her J.D., magna cum laude, from Harvard Law School. She is admitted to the bar of New York. She is a native speaker of Cantonese and Mandarin.
