Mr. Kaplan is a member of Davis Polk & Wardwell’s Corporate Department. He regularly works for issuers and underwriters in connection with capital markets and leveraged finance transactions, including initial public offerings and other equity offerings, as well as offerings of convertible and high-yield debt. He has been the primary capital markets partner for Verizon Wireless, MCI and Syngenta AG, among others, and has represented major investment banks, including Banc of America, Credit Suisse and Morgan Stanley, as underwriter’s counsel. Mr. Kaplan has worked on offerings involving issuers from a variety of industries ranging from technology and telecommunications to basic industry.
Mr. Kaplan regularly advises investment banking clients on securities law-related matters and corporate clients on general corporate matters, including corporate governance, SEC and Sarbanes-Oxley matters. He is also a frequent speaker on related topics and has recently presented at the Securities Industry Association, the LSTA, The Bond Markets Association, the City Bar Association and Corporatecounsel.net.
Mr. Kaplan has also recently worked on various private equity investments by DLJ Merchant Banking, Metalmark Capital Partners and Welsh Carson; the merger of MCI and Verizon; and the sale of PwC Consulting to IBM.
Mr. Kaplan joined Davis Polk in 1996 and became a partner in 2003.
He graduated, summa cum laude, from Harvard College in 1992 and in 1995 received his J.D., magna cum laude, from Harvard Law School. He clerked for the Honorable Marie L. Garibaldi, Supreme Court of New Jersey, from 1995 to 1996.
