Mr. Wellington is a member of Davis Polk & Wardwell’s Corporate Department and works in the Menlo Park office. He has worked on mergers, acquisitions, public and private securities offerings and other corporate transactions. Some of the transactions he has worked on recently include Cadence Design Systems’ unsolicited bid to acquire Mentor Graphics, Vector Capital’s acquisitions of Precise Software Solutions and Tripos, Francisco Partners’ joint venture in Numonyx with Intel and STMicroelectronics, NetIQ’s sale of WebTrends to Francisco Partners; the initial public offerings by Monotype Imaging and PROS Holdings; the sale by Westar Energy of its interests in Protection One; the acquisitions by Vitesse Semiconductor of Orologic, SiTera, Versatile Optical Networks and Multilink Technology and by Oracle of Retek; and the convertible note offerings by Yahoo!, Mercury Interactive, Red Hat, Intellisync, Veritas Software and Cadence Design Systems.
He joined Davis Polk in 1999 and became a partner in 2004.
Mr. Wellington graduated from the University of California, Irvine, in 1986. He received his Master of International Affairs from Columbia University in 1988 and in 1996 received his J.D., cum laude, from Harvard Law School. He is admitted to the bar of California.
Before joining Davis Polk, Mr. Wellington worked for the United States Department of State from 1989 to 1993, and as an associate at Wilson Sonsini Goodrich & Rosati from 1996 to 1999.
