Ms. Chiu is counsel in Davis Polk & Wardwell’s Capital Markets Group, with an emphasis on corporate governance and SEC regulations for public companies. She regularly advises major companies on board-related issues, including director independence, securities law compliance, proxy disclosure, shareholder proposals, and the impact of proxy advisory services. Her practice also focuses on new developments and changing best practices in governance matters. She has represented both issuers and underwriters on a number of significant securities transactions, including one of the largest IPOs in US history and advising newly public companies. Her clients have included General Electric Company, Morgan Stanley, Aetna, Marsh & McClennan, and CVS Caremark.
She has published “The Spotlight on the Independence of Compensation Consultants” in the Corporate Governance Advisor (May/June 2008) with Kyoko Lin Takahashi, “Structuring Portfolio Companies: Director Independence” in Deal Lawyers with John Butler (May/June 2008) and “How Funds Vote on Proxy Proposals” in InvestorRelationships.com (Summer 2008).
She began her career at Davis Polk in 1995 and went to J.P. Morgan Securities in 1996, rejoining the firm in 1998. Ms. Chiu was recently corporate and securities counsel at General Electric Company from 2005 to 2007, responsible for a range of governance and disclosure areas affecting the company.
Ms. Chiu graduated, with honors, from the University of Texas at Austin in 1990 and in 1995 received her J.D. from New York University School of Law, where she was an editor of the Journal of International Law and Politics. She is admitted to the bar of New York.
