Petja Toskan


Mr. Toskan is an associate in Davis Polk & Wardwell’s Corporate Department and works in the London office. Since joining Davis Polk in 2004, he has worked on a broad range of mergers and acquisitions and capital markets transactions, including the initial public offering of Saras S.p.A. (the largest non-privatization IPO in Italy); Morgan Stanley’s acquisitions of an Italian and a Russian bank; Francisco Partners’ acquisition of the EDI business from IBM; Cargill’s acquisition of the food ingredients business from Degussa AG; several acquisitions by ARM Holdings plc; and Novo Nordisk A/S’ R&D and license agreement with G2 Therapies Limited. He has also advised European public companies on corporate governance and disclosure issues.

From July 2006 to January 2007, Mr. Toskan was seconded to Morgan Stanley, where he worked on structured finance projects and acquisitions in the Securitized Products Group.

Mr. Toskan received his LL.B. from the University of Ljubljana in 1997 and completed his graduate and doctoral studies at Harvard Law School (LL.M., 1998; S.J.D., 2004), where he was a Graduate Fellow, a Clark Byse Fellow and an articles consultant for the Harvard International Law Journal. His doctoral thesis on “Systems of Corporate Governance: Convergence, Institutions, and Competitive Advantage” received the 2004 Irving Oberman Memorial Award. At Harvard Law School, Mr. Toskan also taught a graduate program seminar on “The Future of Corporate Governance.”

In 2001, he served as a special adviser on constitutional reform for accession to the European Union to the Republic of Slovenia, Government Office for Legislation.

Mr. Toskan is admitted to the bar of New York. He is proficient in Italian, German, French and Dutch, and is a native speaker of Slovenian.
