Ms. Kleinberg is a member of Davis Polk & Wardwell’s Tax Department and works in the Menlo Park office. Her practice has focused on advice to corporate and private equity fund clients on mergers and acquisitions, joint ventures, spin-offs and other major corporate transactions. She also has significant experience in the areas of corporate finance and derivatives.

Recently, she has represented Oracle in its acquisition of Siebel Systems; KLA-Tencor in its pending acquisition of ADE; Stockbridge Real Estate Fund in the formation of its newest fund and its acquisition of the Hollywood Park racetrack; Affymetrix in its acquisition of ParAllele; Comcast in its strategic relationship with Motorola; ARM Holdings in its acquisition of Artisan Components; and E*TRADE in its offering of equity units.

She joined Davis Polk in 2003 and became a partner in 2006.

Ms. Kleinberg graduated, magna cum laude, from Harvard College in 1994 and in 1998 received her J.D., magna cum laude, from Harvard Law School. In 2004 she received her LL.M. in taxation from New York University School of Law. She clerked for the Honorable Norman H. Stahl, U.S. Court of Appeals, First Circuit, from 1998 to 1999. She is admitted to the bars of California and New York. She is a member of the Section of Taxation of the American Bar Association.

Before joining Davis Polk, Ms. Kleinberg was an associate at Cleary, Gottlieb, Steen & Hamilton from 1999 to 2003.
