Mr. Rotsztain is an associate in Davis Polk & Wardwell’s Corporate Department and a member of Davis Polk’s Spain and Latin America Practice Group. He joined Davis Polk in 1998 and worked in the Madrid office from January 2002 to November 2005.

the underwriters on the $600 million SEC-registered global initial public offering and NYSE listing and subsequent $500 million SEC-registered global secondary offering of AerCap Holdings N.V., an integrated global aviation company.
the underwriters on the $277 million Rule 144A/Regulation S initial global offering and listing on the São Paulo Stock Exchange of TPI – Triunfo Participações e Investimentos S.A., a Brazilian toll road and port operator.
the underwriters on the Rule 144A/Section 4(2)/Regulation S $1.9 billion initial global offering and Euronext listing of common units of Conversus Capital, L.P., a newly formed Guernsey limited partnership organized to acquire a portfolio of private equity investments previously owned and managed by Bank of America Corporation.
the underwriters on an SEC-registered offering by Primus Guaranty, Ltd. of $125 million aggregate principal amount of its 7% senior notes due 2036 and listing on the NYSE. Primus Guaranty, Ltd. is engaged in the business of providing credit protection to counterparties through credit default swaps.
Dufry South America Ltd. (DSA) on its $346.2 million Rule 144A/Regulation S initial global offering and listings on the São Paulo Stock Exchange and Luxembourg Stock Exchange. The offering consisted of an offering of common shares represented by Brazilian Depositary Receipts in Brazil and a private placement of common shares outside of Brazil. DSA is the leading duty-free operator in Brazil.
the underwriters on the Rule 144A offering by Invicta Capital LLC of $250 million in aggregate principal amount of senior subordinated deferrable interest floating-rate notes and senior subordinated deferrable interest auction-rate notes. Invicta Capital and its wholly owned subsidiary, Invicta Credit, are sponsored by the MassMutual Financial Group and engage in the business of providing credit protection to counterparties through credit default swaps.
Warner Chilcott Limited on its $1.059 billion SEC-registered initial public offering and NYSE listing. The shares were offered by Bain Capital, LLC, DLJ Merchant Banking, J.P. Morgan Partners, LLC and Thomas H. Lee Partners. Warner Chilcott Limited is a specialty pharmaceutical company.
the underwriters on the $50.6 million SEC-registered offering of common stock by ANADIGICS, Inc., a provider of radio frequency integrated circuits and radio frequency front-end solutions.
LPG International Inc. (“LPG”), Ultrapar Participações S.A. (“Ultrapar”) and Oxiteno S.A. Indústria e Comércio (“Oxiteno”) on a $250 million offering by LPG of 7.25% notes guaranteed by Ultrapar and Oxiteno. Ultrapar is the leading provider of liquefied petroleum gas in Brazil.
Telefónica on its respective mergers with Telefónica Móviles and Terra Networks.
the underwriters on the $75.4 million SEC-registered offering of 7,948,850 ADSs by Masisa S.A., a Chilean provider of forestry and wood products.
Codere S.A. on its offering of €335 million principal amount senior high-yield notes and related intercreditor arrangements. Codere is a gaming company in Spain, Latin America and Italy.
• Banco Bilbao Vizcaya Argentaria on its €4.1 billion cash tender offer for the remaining stake in BBVA Bancomer, Mexico’s largest bank.
• the underwriters on the €1.54 billion Rule 144A/Regulation S initial global offering by Cintra, a Spanish toll road operator.
Mr. Rotsztain also advises corporate clients on a wide variety of U.S.
securities laws and general corporate and regulatory matters, including
regarding compliance with and reporting under the Securities Act, the
Securities Exchange Act and the Sarbanes-Oxley Act.
Mr. Rotsztain graduated from Tufts University in 1992 and in 1997 received his J.D. from Columbia Law School, where he was a Harlan Fiske Stone Scholar and a senior editor of the law review. He clerked for the Honorable David G. Trager, U.S. District Court, Eastern District of New York, from 1997 to 1998. He is the author of “The Fifth Amendment Privilege Against Self-Incrimination and Fear of Foreign Prosecution,” 96 Colum. L. Rev. 1940 (1996). He is admitted to the bar of New York. Mr. Rotsztain is fluent in Spanish.
