Richard D. Truesdell, Jr.


Mr. Truesdell is co-head of Davis Polk & Wardwell’s global Capital Markets Group. He represents clients in U.S. and international capital markets transactions and advises on corporate governance and securities market regulation.

Mr. Truesdell has represented investment banks, including Banc of America Securities, Credit Suisse, J.P. Morgan and Morgan Stanley, as well as a variety of corporate clients.

He has extensive experience with a wide variety of both public and private debt and equity offerings by U.S. and non-U.S. issuers, including initial public offerings, convertible offerings and high-yield debt financings. Recent transactions include the $6 billion offering of perpetual convertible stock by Bank of America Corporation (the largest convertible offering in history); $11.8 billion of financing by Freeport-McMoRan Copper and Gold to finance its acquisition of Phelps Dodge, including $6 billion of high-yield notes (the third-largest high-yield offering in history); and initial public offerings by BladeLogic, K-12, MSCI, SandRidge Energy and Sirtris Pharmaceuticals.

He served as a staff member of the Presidential Task Force on Market Mechanisms.

Mr. Truesdell joined Davis Polk in 1986 and became a partner in 1993.

He graduated from the University of Pennsylvania in 1983 and in 1986 received his J.D. from Columbia Law School, where he was executive editor of the Columbia Journal of Law and Social Problems and a James Kent Scholar.
