Mr. Kelso is an associate in Davis Polk & Wardwell’s Corporate Department and works in the Menlo Park office. He joined Davis Polk in 2001. Mr. Kelso worked in the London office from 2004 to 2006 and in the New York office from 2001 to 2003.
His representative transactions include advising Oracle on its acquisitions of Hyperion and Stellent and its proposed acquisition of Global Knowledge Software; MediaTek on its acquisition of Analog Devices wireless semiconductor business; Francisco Partners on its Numonyx joint venture with Intel and STMicro; BeVocal on its acquisition by Nuance; PowerDsine on its acquisition by Microsemi; Palm on various private technology acquisitions; Exxaro on the spinoff of its iron ore business; NTL on its merger with Telewest; Telecom Italia on its combination with TIM; REDIBook on its merger with Archipelago Exchange; and Citigroup on its acquisition of Banamex. Mr. Kelso has also advised a variety of private equity investors, including Francisco Partners, Texas Pacific Group, Vector Capital, Morgan Stanley Capital Partners and Credit Suisse Private Equity, and their respective portfolio companies, in connection with a variety of leveraged acquisitions and other strategic transactions.
Mr. Kelso received his B.A. and LL.B., with first class honors, in 1996, from the University of Sydney. In 1998 he received his LL.M., with first class honors, from Jesus College, Cambridge University, while on a Cambridge Commonwealth Scholarship. He is admitted to the bars of California and New York, and the Supreme Court of New South Wales.
