Mr. Schell is counsel in Davis Polk & Wardwell’s Capital Markets Group. He has worked on a wide variety of both public and private debt and equity offerings by U.S. and non-U.S. issuers, including initial public offerings, convertible offerings and high-yield debt financings, as well as leveraged finance transactions and advisory assignments, in a range of industries for financial institutions and companies in New York and London, such as The AES Corporation, Bank of America, Burger King, Credit Suisse, DaimlerChrysler, Greenhill & Co., GSC Partners, J.P. Morgan, Morgan Stanley and Royal Bank of Scotland. Mr. Schell regularly advises investment banking clients on securities law-related matters and corporate clients on general corporate matters, including corporate governance, SEC and Sarbanes-Oxley matters.
Mr. Schell has recently worked on the initial public offering of Burger King Holdings, Inc.; the €5 billion bridge loan and related high-yield financing of the purchase of the semiconductors business of Royal Philips Electronics by a private equity consortium led by Kohlberg Kravis Roberts & Co., Silver Lake Partners, Bain Capital, Apax and Alpinvest; the $2.25 billion offering of General Mills’ common stock owned by Diageo plc, including a related offering of mandatory exchangeable notes by Lehman Brothers Holdings; the $100 million initial public offering of Greenhill & Co., the boutique investment bank; the $365 million offering of Premcor’s common stock owned by The Blackstone Group; Vivendi Universal Entertainment’s $1.7 billion bridge financing and $2 billion letter of credit facilities; the $1.5 billion notes offering by Verizon Wireless; several high-yield debt offerings; numerous domestic and cross-border equity offerings; multiple corporate governance advisory assignments; and representations of J.P. Morgan in several credit financing transactions. From 2000 to 2002, Mr. Schell worked in the London office and advised on several securities offerings by Diageo plc and the $3 billion privatization of Statoil, the Norwegian state-owned oil and gas company.
He joined Davis Polk in 1999 and became counsel in 2006.
Mr. Schell graduated from Yale University in 1993 and in 1998 received his J.D. from Yale Law School, where he was articles editor of the Yale Journal of International Law. He clerked for the Honorable Charles P. Sifton, U.S. District Court for the Eastern District of New York, from 1998 to 1999. He is admitted to the bar of New York.
