Carole Schiffman


Ms. Schiffman, a partner in Davis Polk & Wardwell’s Corporate Department, represents clients in mergers and acquisitions, private equity transactions, joint ventures and partnerships. She also has experience in cross-border transactions and represents clients in general corporate and securities law matters.

She has regularly represented Crestview Partners in a wide variety of transactions, including in connection with its investments in FBR Capital Markets Corporation, Key Safety Systems, ValueOptions, Oxbow Energy and a joint representation of Crestview and ABN AMRO in connection with the investment in AXA RE. In addition, she has represented Welsh, Carson, Anderson & Stowe, including in connection with its investments in Electronic Evidence Discovery, Titan Outdoor, US Investigations Services, FirstMark Communication, BTI Telecom, ITC^DeltaCom and others. She also has represented Morgan Stanley Capital Partners, Francisco Partners and several other private equity funds in numerous other transactions. In addition, her work has extended to regular corporate representation of a number of the private equity funds’ portfolio companies.

Ms. Schiffman’s corporate clients in M&A matters have included Compagnie de Saint Gobain, in connection with its acquisitions of Norandex, Furon and Chemfab, the joint venture with Ball Class to acquire Foster-Forbes, the management buy-out of Saint-Gobain’s former subsidiary, Medex, and several dispositions. Her work also has included the representation of Limited Brands and Comcast Corporation in connection with several recent transactions, Unisource Worldwide in its sale to Georgia Pacific, the sale of the Detroit Tigers, and the acquisition of Offshore Pipelines by McDermott International. She has represented Aetos Capital in its combination with AEA Investors and Highbridge Capital Management in connection with several recent transactions. She represented Ingram Micro in its split-off from Ingram Industries and initial public offering, as well as a number of subsequent acquisitions and strategic transactions.

Ms. Schiffman writes frequently on topics in the private equity area and she is an editorial board member of The M&A Lawyer.

Ms. Schiffman joined Davis Polk in 1989 and became a partner in 1996.

She graduated from Wesleyan University in 1985 and in 1988 received her J.D. from New York University School of Law.
