Ms. Kennedy is counsel in Davis Polk & Wardwell’s Corporate Department, concentrating in real estate transactions. Her practice includes real estate acquisitions and dispositions, secured lending transactions, sale-leaseback and other leasing transactions, real estate partnerships, real estate investment trusts (REITs), and real estate mortgage securitizations. Among the matters she has worked on are a European hotel joint venture for Host Hotels & Resorts, real estate investment fund reviews for The Church Pension Fund, secured lending transactions for Stockbridge Real Estate Fund, JPMorgan Chase Bank and Bank of America; sale-leaseback transactions for Federal Express Corporation, Philip Morris Capital Corporation, Prudential Securities, HSBC and other lenders; tax-advantaged REITs for J.P. Morgan, Wal-Mart and Walt Disney; and credit tenant loan securitizations for First Union and PaineWebber. In her pro bono practice, she has represented Settlement Housing Fund, South Street Seaport Museum and Kids with Kids.

Ms. Kennedy joined Davis Polk in 1985 and became counsel in 1998.

Ms. Kennedy graduated from Cornell University in 1979 and in 1983 received her J.D. from St. John’s University School of Law, where she was editor of the law review. She clerked for the Honorable Kevin Thomas Duffy, U.S. District Court, Southern District of New York, from 1983 to 1985. She is admitted to the bar of New York, the U.S. Court for the Southern District of New York and the U.S. Court for the Eastern District of New York.
