Sarah K. Solum


Ms. Solum is a member of Davis Polk & Wardwell’s Corporate Department, practicing in the Menlo Park office. She has advised on public and private corporate finance transactions, including initial public offerings and convertible and other debt offerings, mergers and acquisitions, private equity investments, SEC disclosure and corporate governance. Transactions she has worked on recently include advising Oracle on its acquisitions of Siebel Systems and PeopleSoft and its issuance of $5.75 billion of senior debt securities; NetIQ on its sale to AttachmateWRQ; Comcast on its issuance of $2.25 billion of senior debt securities; UBS Investment Bank and Bear Stearns as joint book-running managers in a $384 million common stock offering for Kaiser Aluminum; Citigroup as sole book-running manager in a $250 million convertible debt offering for Equinix; Credit Suisse as sole book-running manager in a $600 million convertible debt offering for Cypress Semiconductor; Merrill Lynch, Morgan Stanley and J.P. Morgan as joint book-running managers in a $500 million convertible debt offering for Cadence; Morgan Stanley, J.P. Morgan and Goldman Sachs as joint book-running managers in a $1.5 billion debt offering for Seagate Technology; Morgan Stanley and Cowen as joint book-running managers in the initial public offering and a follow-on offering for Chipotle Mexican Grill; and Morgan Stanley in connection with the McDonald’s $800 million spin-out of Chipotle Mexican Grill.

She joined Davis Polk in 1999 and became a partner in 2007.

Ms. Solum graduated, summa cum laude and Phi Beta Kappa, from St. Olaf College in 1995 and in 1998 received her J.D., magna cum laude, Order of the Coif, and her LL.M. in comparative and international law from Duke University School of Law, where she served on the law journal. She is admitted to the bars of California and New York.

Before joining Davis Polk, Ms. Solum was an associate at Cravath, Swaine & Moore from 1998 to 1999.
