Margaret E. Tahyar


Ms. Tahyar is a member of Davis Polk & Wardwell’s New York Corporate Department, currently practicing in the Paris office. Her practice focuses on complex cross-border transactions, including capital markets, private equity and mergers and acquisitions. She also has worked closely with a number of major financial institutions. Ms. Tahyar led the corporate team representing ABN AMRO in the largest-ever cross-border transaction in the banking industry—its groundbreaking sale to an investor consortium created one of the world’s top five banks. Other recent major deals include representing Suez with respect to the U.S. law implications of its proposed merger with Gaz de France; advising ICICI bank on several offerings, including the largest-ever equity offering by an Indian issuer and India’s first-ever foreign currency hybrid Tier 1 securities offering (the latest in a long line of Tier 1/hybrid deals that Ms. Tahyar has advised on for a large number of clients since the mid-1990s); representing the underwriters in 144A subordinated debt offerings by Société Générale; representing the underwriters in offerings by Crédit Agricole S.A.; representing the underwriters in an SEC-registered offering of notes by Lafarge; advising the underwriters on the U.S. law aspects of the Amboise Investissement initial public offering; and advising ABN AMRO in connection with its creation of a well-known seasoned issuer shelf. Her clients, among others, include ABN AMRO, ICICI Bank, Suez and Sodexho. Ms. Tahyar has advised Morgan Guaranty Trust (MGT) on the transfer of operating and banking functions of Euroclear from MGT to a new market-owned Euroclear Bank, based in Belgium.

Ms. Tahyar joined Davis Polk in 1989 and became a partner in 1997. She has been resident in the firm’s Washington, D.C., New York, London and Paris offices. She graduated from the University of Michigan in 1982 and her studies included a year-long program at the Université d’Aix-Marseille III, from 1979 to 1980. In 1987, she received her J.D. from Columbia Law School, where she graduated first in her class and was an articles editor of the law review. She clerked for the Honorable Robert H. Bork, U.S. Court of Appeals for the D.C. Circuit, in 1988 and for the Honorable Thurgood Marshall, U.S. Supreme Court, from 1988 to 1989. She is admitted to the bars of New York and the District of Columbia. She also is admitted to the Paris bar as a French avocat.

Ms. Tahyar is author of a number of articles and a frequent speaker at conferences. She is the immediate past co-chairman for the Securities Committee of the IBA and the Rapporteur of the Securities Subcommittee of the IBA’s Task Force on Extraterritorial Jurisdiction. She is a vice-chairman of the ABA’s International Securities and Capital Markets Committee. She is listed in Legalease’s European Legal Experts (2006, 2007), Chambers Global 2005-06 – Leaders in their Field and European Legal Experts’ Legal Business (2005). The most recent online version of Chambers mentions that she is “referred to by several sources as ‘the best U.S. securities expert in Paris.’”
