Mr. Reid is a member of Davis Polk & Wardwell’s Corporate Department, practicing in the London office.
Capital Markets: Mr. Reid has represented underwriters and issuers in some of the largest and most significant IPOs in Europe and elsewhere, including the flotation of Alstom in France; the privatization of Swisscom in Switzerland; the IPO of ARM Holdings, a world-leading IP company; the privatization of Neste Oy, a Finnish refining and marketing company; and the 2006 flotation of Cairn India Limited on the Bombay Stock Exchange. Mr. Reid has also acted for many issuers in connection with corporate investment-grade and non-investment-grade debt issues and more complex structured products.
M&A: Mr. Reid advised Morgan Stanley on all of its aircraft acquisitions, including the purchase of AWAS from News International and TPG Groep in 2000 and the sale of AWAS to Terra Firma in 2006. He advised Scania AB in 2006-07 on its defense of an unsolicited offer from MAN AG and AstraZeneca on its acquisition of MedImmune in 2007. He has also acted as adviser on general corporate matters, including M&A, to several of Europe’s leading companies, including ABN AMRO, ARM, AstraZeneca, InterContinental Hotels, Millicom, Morgan Stanley International and Novo Nordisk.
Corporate Governance: Mr. Reid acted for the Group Audit Committee of Royal Dutch Shell in connection with its investigation into the facts and circumstances of the recategorization of approximately 3.9 billion boe of proved oil and gas reserves in January 2004. He provides disclosure and governance advice to several large cap companies and their boards and also provides general governance advice to global and European trade associations.
Mr. Reid joined Davis Polk in 1987 and became a partner in 1995. In 2000, he became a managing director in the Investment Banking Division of Morgan Stanley. Initially, he focused on equity capital markets transactions and led banking teams on the Orange SA and Statoil IPOs and a $1.8 billion equity issue for Reed Elsevier, the first simultaneous issue by each head of a dual-listed company. In 2001 and 2002, Mr. Reid originated and executed leveraged finance transactions for Morgan Stanley involving several restructurings, high-yield issues and LBO financings. He rejoined the partnership in 2003.
Mr. Reid graduated, with first class honors, from the University of Edinburgh in 1986 and in 1987 received his LL.M. from Columbia Law School.
