Mario J. Verdolini


Mr. Verdolini is a member of Davis Polk & Wardwell’s Tax Department and is the coordinator of Davis Polk’s Tax Controversy Group. He also advises on the tax aspects of domestic and international mergers, acquisitions, spinoffs and reorganizations for corporate clients.

Mr. Verdolini’s tax controversy experience includes litigation matters, administrative proceedings, alternative dispute resolution and risk assessment. He has settled matters involving international transfer pricing and cross-border tax questions, as well as corporate, partnership and tax accounting issues. He has handled cases at the federal, state and local levels, including a Tax Court case involving nearly 200 issues. He is currently representing a U.K. bank in a Court of Federal Claims case involving debt-equity questions under the U.S.-U.K. tax treaty.

In his transactional practice, Mr. Verdolini has advised on spinoffs and mergers, including many cross-border transactions, as well as complex reorganizations involving partnerships. He also has advised on numerous transactions in the exempt organizations area, including private equity investments by institutional investors and the demutualization of a stock market.

Mr. Verdolini joined Davis Polk in 1990 and became a partner in 1997. He graduated from Yale College in 1985 and in 1990 received his J.D., Order of the Coif, from New York University School of Law.
