Mr. Weigel is a member of Davis Polk & Wardwell’s Tax Department. He advises clients on tax matters in several areas with an emphasis on structuring private investment funds for merchant banking, real estate, infrastructure and venture capital transactions, and on executing the transactions of those funds, both domestic and international. He also advises on structuring arrangements for individual participation in “carried interest” and other disproportionate income from investment activities, as well as on unrelated business taxable income, and other tax considerations applicable to pensions and other tax-exempt entities and to foreign governmental entities. He has served as the principal tax adviser in structuring major merchant banking, real estate, and other investment funds for Morgan Stanley, Credit Suisse, J.P. Morgan, Greenhill Capital Partners, Metalmark Capital,Crestview Capital Partners, Stockbridge Real Estate Partners, Tailwind Capital Partners and other clients.
In addition, Mr. Weigel works on tax issues of partnerships, real estate transactions (including public and private REITs), structured and “off balance-sheet” financing arrangements, regulated investment companies and other retail investment vehicles, preferred stock financing, and research and development financing.
Mr. Weigel joined Davis Polk in 1974 and became a partner in 1984.
Mr. Weigel graduated from Princeton University in 1971 and in 1974 received his J.D. from Harvard Law School. He received an LL.M. in taxation from New York University School of Law in 1979.
Mr. Weigel has served as a panelist in various seminars sponsored by New York University, the Practicing Law Institute and other organizations. He is a member of the Tax Forum and the Private Investment Funds Forum and has published articles on a variety of topics in federal income taxation.
