Ms. Chen is an associate in Davis Polk & Wardwell’s Corporate Department and is assigned to the Financial Institutions Group. Since joining Davis Polk in 2001, she has completed a rotation in the Capital Markets Group and the Credit Group. She worked in the Hong Kong office from 2004 to 2006.
Ms. Chen has advised financial institutions on various securities offerings and other corporate transactions. She has advised PartnerRe on corporate and transactional matters. Her recent transactions include advising underwriters on subordinated debt offerings by American International Group, The Travelers Companies and Liberty Mutual; St. Paul Companies on its merger with Travelers Property Casualty Corp.; underwriters on China Construction Bank’s restructuring and $9.2 billion initial global offering; and China Merchants Bank on its $2.7 billion initial global offering. Her other transactions have included securities offerings by UBS AG, Banco Santander-Chile and Rabobank Nederland.
Ms. Chen received her LL.B. in 1992, her LL.M. in 1995 and her Ph.D. in 2000, all from Fudan University in Shanghai, China. In 2001 she received her LL.M. from New York University School of Law, where she was a Hauser Scholar. She is admitted to the bars of New York and China. She is a native speaker of Mandarin.
