Davis Polk's Environmental Practice Group participates in a wide range of merger and acquisition, capital markets, credit, insolvency and restructuring, project finance and real estate transactions. The corporate lawyers in the group advise the firm's U.S. and non-U.S. industrial, banking, real estate and investment banking clients on such issues as potential environmental liabilities, environmental insurance and SEC disclosure. We work with company accountants, technical environmental consultants and insurance companies when performing due diligence investigations, participating in administrative and licensing proceedings, and structuring transactions to address environmental issues. We are engaged in legislative developments in the environmental area and monitor current environmental legislation in Congress. We help foreign purchasers of assets in the United States evaluate both the environmental aspects of their acquisitions and the U.S. environmental regulatory climate.

Our corporate environmental practice includes counseling on remediation and brownfield redevelopment projects, developing environmental compliance policies, analyzing potential indemnification claims and providing general advice regarding possible liability for environmental issues.

We have been active for more than 25 years in environmental litigation in federal and state courts, and before national and local administrative agencies.

The litigators in the group work closely with their corporate colleagues in tort, contract and indemnification disputes in administrative and court proceedings, as well as in the growing number of claims involving directors' and officers' liability and criminal defense. The group has broad experience with such environmentally sensitive businesses as oil and gas, chemical, steel and real estate.
