
Our Executive Compensation and Employee Benefits Group works on virtually every merger, acquisition, leveraged buyout, recapitalization, spinoff, workout and bankruptcy handled by the firm, as well as on many other corporate transactions. We have extensive experience advising clients on such issues as stock options and other equity-based compensation arrangements, senior executive employment contracts, golden parachute arrangements and employee stock ownership plans (ESOPs). We advise on ERISA issues relating to hedge funds and private equity vehicles as well as plan assets and prohibited transaction concerns arising in connection with venture capital investments and corporate transactions. We also advise asset managers, broker dealers and investment bankers with respect to the many and varied services they offer to U.S. pension plans.
