When advising hedge fund sponsors, our lawyers work closely with the client to develop a structure that optimizes investment and operational flexibility for the fund sponsors, taking into account the style of the fund being implemented by the fund sponsor. The mandates of the hedge funds we have advised include hedge funds of funds, long/short equity, global fixed income, industry sectors such as health care and energy, and special geographic sectors.

Working with our Equity Derivatives and Credit Groups, we have been at the forefront of innovation in the use of structured equity and structured credit techniques to create new hedge fund products. Through the use of swaps, options and equity-linked securities, we have helped develop new forms of alternative investments. We have also helped develop innovative financing and principal-protection techniques using derivatives. These complex products reflect the ongoing convergence of a number of disciplines, including investment management, credit and equity derivatives and traditional CDO/CBO structures.

Our preeminent broker-dealer practice provides us with in-depth knowledge of the day-to-day trading issues and any developing market trends that may impact hedge fund performance, including those relating to prime brokers.

With ever-increasing government and public scrutiny of hedge funds, compliance and awareness of impending regulatory changes is critical to a fund's operation and performance. For example, we have conducted comprehensive reviews of hedge fund managers, reviewing all aspects of a client's business as it related to compliance with the Securities Act, the Investment Company Act, the Investment Advisers Act, the Commodities Exchange Act, applicable tax laws, anti-money laundering laws and common law fiduciary principles.
