We advise boards, directors and officers in crisis management situations, civil litigation and government investigations. We have advised boards of directors or special committees of Alliance Capital Management, Bankers Trust, Exxon, Ford Motor Company, General Electric, Metropolitan Life Insurance, Owens-Illinois, Prudential Insurance, Sotheby's, Upjohn and other companies with respect to numerous special investigations and litigations, including shareholder derivative suits.

• We successfully defended current and former officers and directors of Sunterra, a Florida-based time-share vacation company, in a securities class action litigation in the U.S. District Court for the Middle District of Florida in which plaintiffs alleged that Sunterra made misleading and false statements on several of its press releases and its quarterly and annual reports.
• We represented Aetna, a Connecticut-based insurance provider, and the members of its board of directors in a shareholder litigation alleging failure to accept an unsolicited acquisition proposal as a breach of fiduciary duty.
• We represented the senior officers of Alliance Capital Management and board members of the Austria Fund in litigation brought by a shareholder who alleged that the Fund and individual defendants took improper acts which failed to maximize shareholder value, entrenched the incumbent directors and prevented the Fund's stockholders from influencing the Funds' corporate policies through the voting and proxy process.
